CORE PURPOSE OF THE JOB
To provide legal support services to the business in line with the policies, precedents, and standards laid down by Almarai’s Legal.
AREAS OF RESPONSIBILITY
- Responsible to identify the right template for a matter/deal on, customize such template to suit the relevant matter/deal, negotiate them (if so required), review and brief approvers to secure their approval.
- Ensure that the relevant specifics of first-time matters/deals are collected in discussions with internal stakeholders, review of the documents involved, develop new templates that protect Almarai’s interest in line with corporate policies involved and brief approvers to secure their approval.
- Review and draft transactional legal documents including facilities, contribution and loan agreements and ensure that all pertinent legal points are addressed and the right stakeholders are alerted or feedback sought from stakeholders.
- Manage the executed contracts/agreements, ensure that they are renewed in time (where renewals are required), internal stakeholders are informed in advance of the upcoming renewals.
- Ensure that queries received in respect of transactions and business activities from internal customers are properly and timely addressed in consultation with superiors.
- Manage the intellectual property rights portfolio of the company by providing timely support so as to ensure that the registration, renewal and other actions in respect of Almarai’s intellectual property rights at various forums are seamlessly carried on.
- Draft, review and manage agenda, board resolutions, and minutes of meetings as entrusted to and in consultation with superiors.
- Responsible to draft and review all NonDisclosure Agreements (NDAs), Consultancy Agreements, and Engagement Letters (ELs).
- Provide the needed support in all legal matters including corporate finance, Treasury, insurance and compliance matters.
ACADEMIC / PROFESSIONAL QUALIFICATION
Bachelor degree in Law
EXPERIENCE ESSENTIAL
4-5 years of experience as an in-house lawyer or associate of an international law firm.
