People in Need (PIN) is an international non-governmental, non-profit organisation founded in the Czech Republic in 1992. PIN began its operations in Nepal following the devastating earthquake of April 2015 and has since worked in humanitarian assistance, climate resilience, education, governance, and inclusive development programmes across the country.

PIN is committed to promoting the rights and well-being of vulnerable and marginalised populations, including women and girls, persons with disabilities, Indigenous peoples, and communities living in remote and disaster-prone areas. The organisation is also committed to the highest standards of safeguarding, accountability, and legal compliance.

The purpose of this Terms of Reference (ToR) is to engage a qualified legal firm or individual lawyer ("Legal Service Provider") to provide ongoing legal advice, representation, and legal support to People in Need (PIN) Nepal. The Legal Service Provider will ensure that PIN's operations remain compliant with the laws and regulations of Nepal while providing timely and practical legal advice across the organisation.

The Legal Service Provider shall provide legal services on an as-needed basis, including but not limited to the following:

A. Legal Advice and Regulatory Compliance

B. Employment and Human Resources

C. Contracts and Legal Documents

D. Litigation and Legal Representation

E. Governance and Organisational Support

The Legal Service Provider shall provide services for an initial period of 12 months, with the possibility of extension based on performance and organisational needs.

Services shall be requested by authorised representatives of PIN Nepal on an as-needed basis throughout the contract period.

The Legal Service Provider will report directly to the Country Director or a designated representative and will coordinate closely with the Head of Systems and Operations, Human Resources Manager, Finance manager and other relevant departments as required and requested by PIN.

9. Confidentiality and Professional Conduct

The Legal Service Provider shall maintain strict confidentiality of all information obtained through this engagement and shall not disclose any confidential information without prior written authorisation from PIN. All services shall be delivered in accordance with applicable professional ethical standards and the laws of Nepal.

10. Evaluation method (performance of evaluation criteria)

The evaluation result of this criterion equals the following formula: Price A/Price B * criteria weight.

Price A = lowest price from all submitted offers; Price B = actual price offered by the tenderer.

The bids will be evaluated by a procurement committee considering the following criteria for a technical proposal. The total marks of the technical evaluation will be 60 whereas the weightage is given below.

The evaluation result of this criterion equals to the following formula: Points B/Points A * criteria weight. Points A = highest points score from all; Points B = actual points score received from committee.

PIN will provide the consultancy fees after the submission of the invoice. As per GON policy, tax shall be deducted from the contractual amount.
