One of Nepal’s leading manufacturing companies is seeking a highly experienced and qualified professional for the position of Head of Compliance & Governance. The role is responsible for ensuring organizational compliance with all applicable laws, regulations, statutory requirements, corporate governance standards, and internal policies while safeguarding the company’s reputation, operational integrity, and long-term sustainability.
Education
Chartered Accountant (CA) – Mandatory
Additional certification in Risk Management, Corporate Governance, Compliance Management, or related disciplines will be an added advantage.
Experience
8–12+ years of progressive experience in Compliance, Audit, Risk Management, Finance, Corporate Governance, or related functions.
Minimum 3–5 years of experience in a leadership or managerial role.
Prior experience in manufacturing, FMCG, industrial, or production environments will be highly preferred.
Key ResponsibilitiesRegulatory & Statutory Compliance
Ensure compliance with all applicable company laws, labor laws, taxation regulations, environmental requirements, and industry-specific regulations.
Monitor regulatory changes and assess their impact on business operations.
Maintain statutory registers, licenses, permits, and certifications.
Ensure timely submission of statutory returns and regulatory reports.
Corporate Governance
Develop, implement, and strengthen compliance frameworks, policies, and procedures.
Promote ethical business practices and corporate governance standards across the organization.
Support the Board and senior management on governance-related matters.
Monitor adherence to organizational policies and procedures.
Risk Management
Identify compliance, operational, and strategic risks across the organization.
Conduct periodic compliance and risk assessments.
Develop risk mitigation strategies and corrective action plans.
Establish and enhance internal control systems to minimize business risks.
Audit Management
Lead and coordinate internal and external audit activities.
Ensure timely closure of audit findings and observations.
Monitor implementation of corrective and preventive actions.
Prepare audit reports, compliance dashboards, and management updates.
Tax & Financial Compliance
Ensure compliance with direct and indirect tax regulations.
Review tax filings, statutory submissions, and financial compliance requirements.
Coordinate with auditors, tax consultants, and regulatory authorities.
Ensure financial processes align with applicable accounting standards and regulatory requirements.
Manufacturing Compliance
Ensure compliance with factory regulations, workplace safety standards, environmental requirements, and industry best practices.
Monitor compliance related to production, procurement, inventory management, and supply chain operations.
Support implementation and maintenance of quality, safety, and compliance certifications.
Policy & Process Management
Develop, review, and update compliance policies, procedures, and SOPs.
Establish effective compliance monitoring and reporting mechanisms.
Conduct periodic compliance reviews across departments.
Drive continuous improvement initiatives within compliance systems and processes.
Stakeholder Management
Serve as the primary liaison with regulatory authorities, auditors, consultants, and legal advisors.
Coordinate with government agencies and external stakeholders on compliance matters.
Present compliance reports and risk assessments to senior management and the Board.
Team Leadership
Lead and develop the Compliance, Internal Audit, and Governance functions.
Conduct compliance awareness and training programs across the organization.
Foster a culture of accountability, ethics, transparency, and regulatory compliance.
